Corporation Secretary
Role Overview
Alupe University College is seeking a seasoned governance professional to serve as Corporation Secretary. This role sits at the heart of institutional leadership, providing authoritative guidance to the Council on governance, compliance, ethics, and statutory obligations. The position demands discretion, precision, and a deep understanding of public sector governance frameworks.
Key Responsibilities
Council Governance & Advisory
- Guide the Council on its statutory duties, responsibilities, and governance best practices
- Support Council induction, continuous training, and performance evaluation
- Coordinate governance audits and oversee implementation of the Code of Conduct and Ethics
Council Operations & Records Management
- Prepare, circulate, and safeguard Council and Committee papers and minutes in a timely manner
- Develop and update Council and Committee Charters and annual work plans
- Act as custodian of the institutional seal and account for its proper use
Compliance, Communication & Statutory Filings
- Maintain and update the register of conflicts of interest
- Ensure Council members are informed of all relevant laws affecting the Institution
- File annual returns with relevant authorities within statutory timelines
- Facilitate effective communication between the Institution, Council, and stakeholders
Qualifications & Experience
- Bachelor’s degree in Law or Social Sciences from a recognized institution
- Certified Secretary (CS) and member of the Institute of Certified Secretaries of Kenya (in good standing)
- Minimum of three (3) years’ experience as a Corporation Secretary or in a similar public sector role
- Certificate in leadership (minimum four weeks) is an added advantage
- Strong computer proficiency and demonstrated integrity, diligence, and professionalism

Higher Education Loans Board (HELB)
Ethics and Anti-Corruption Commission (EACC)
Directorate of Criminal Investigations (Certificate of Good Conduct)
A Registered Credit Reference Bureau (CRB)
